Welcome to Panda - Fun Party (hereinafter referred to as the "Platform" or "APP"). This agreement is jointly signed by the Panda - Fun Party team (the owner and operator of Panda - Fun Party), the Panda - Fun Party client, and you ("You" or "Your"). Panda - Fun Party has zero tolerance for any inappropriate content or malicious users. By using Panda - Fun Party, you agree to these terms. If you do not agree to any of the terms, you must not use the service.
1. Panda - Fun Party Services
These terms of service apply to all users of Panda - Fun Party services.
2. Terms of Use
2.1. Compliance with Terms of Use. Your access to and use of our services are subject to these Terms of Use, your agreement to the Platform's Privacy Policy, and any applicable laws, rules, and regulations governing our services.
2.2. Age Requirements. Although we do provide content suitable for children, children should not use our services without the supervision and approval of a parent or guardian. If you are under 12 years old (or the legal age of majority in your state, territory, or country of residence), you must not register for or use our services or provide us with your personal data.
2.3. Binding Agreement. By registering for our services or accessing any content, you enter into a binding agreement with us and confirm that any information you provide to us is always true, accurate, and complete, and that you are:
● At least 18 years old (or the legal age of majority in your state, territory, or country of residence), and you agree and consent to be bound by these TOU and other agreements; or
● At least 12 years old but under 18 years old (or under the legal age of majority in your state, territory, or country of residence), and your parent or guardian has consented to your use of our services and access to any content. Such consent also includes consent on your behalf to these Terms of Use and other agreements (including any modifications you make to your account with us).
2.4. Operation and Use of Account. You are responsible for all use of your account, including use by other members of your household or acquaintances. By allowing others to access your account or create profiles within your account, you agree to ensure they comply with these Terms of Use and other agreements, and you agree to be responsible for their activities when using our services.
2.5. Accurate Data. You confirm and guarantee that all data and information you provide to us are accurate in all respects, and you agree to promptly update your registration data as necessary to ensure it remains accurate at all times.
2.6. Software Updates. By downloading, installing, or using our services, you agree to receive automatic software updates (if applicable).
2.7. Malware. You must not intentionally or recklessly introduce viruses or other harmful components, or otherwise tamper with, impair, or damage our services or connected networks, or interfere with any individual or entity's use or enjoyment of our services.
3. User Content
3.1. Definition: The term "User Content" as used in these terms refers to any content uploaded, posted, or transmitted (collectively referred to as "posted") by users to the service, including but not limited to any text content. Please note that "User Content" here does not include content provided by the company to users through the service (hereinafter referred to as "Company Content"), which is defined as all content provided by the company to users through the service, including but not limited to any text and interactive features.
3.2. No User Content Screening: Users may post or transmit User Content to or through the service. Although we strive to ensure that all User Content complies with our community guidelines (which you can view on our application), we do not pre-screen any User Content submitted or publicly posted by users. However, we reserve the right to remove, ban, or temporarily block any User Content that: (i) we believe violates these terms, our community guidelines, or any applicable law, or (ii) in response to complaints from other users, with or without notice. Since we cannot review all User Content, we cannot guarantee its accuracy, completeness, authenticity, appropriateness, or quality. Therefore, any use or reliance on any User Content is at your own risk.
3.3. User Content Ownership; License: You are the owner and retain the rights to the User Content you post and display on your service and through the service. However, you grant us a worldwide, transferable, sublicensable, royalty-free license to reproduce, distribute, publicly display, transmit, and create derivative works of your User Content through any media and formats now known or later developed, and otherwise develop and use all User Content you post or transmit through the service for (i) advertising, marketing, and promoting the company and the service; (ii) displaying and sharing your User Content with other users of the service; (iii) providing the service in accordance with these terms. If you terminate your account or delete any User Content from the service after posting, your User Content license will be permanently and irrevocably terminated. Additionally, you grant us and our affiliates and business partners an unrestricted, worldwide, royalty-free license to use your username and image to identify you as the source of any User Content. Please note that you must not post any User Content on or through the service that you consider confidential or proprietary. Any User Content you post or transmit through the service or otherwise send to us will be considered non-confidential and non-proprietary and will be processed and used by us, and the company may use such content in accordance with these terms without further notice and without any liability. It is important to note that the license mentioned in this paragraph includes, but is not limited to, the right to reproduce your User Content on a royalty-free basis, meaning you grant us the right to use your User Content without paying royalties to you or any third party involved in creating the User Content.
3.4. User Content Restrictions: By posting User Content to the service, you must comply with the following restrictions:
● You must be the owner of the User Content you post or transmit through the service, or have the right to grant the license specified in these terms;
● The User Content you post or transmit through the service must not infringe on anyone's privacy rights, publicity rights, copyrights, contractual rights, intellectual property rights, or any other rights;
● Posting your User Content on the service must not require us to obtain any further licenses or pay any royalties, fees, compensation, or other amounts to any third party, or provide any attribution to any third party;
● Posting your User Content on the service must not result in a breach of any agreement between you and a third party.
3.5. Prohibited Content: You must not post any User Content that we determine to be "Prohibited Content," including but not limited to the following:
● Pornographic Content
Including pornographic or erotic content (involving icons, titles, or descriptions, etc.). We have a zero-tolerance policy for child sexual abuse images. If we discover any User Content containing child sexual abuse images, we will immediately report it to the relevant authorities and delete the submitting user account;
● Violent and Bullying Content
User Content must not contain material that threatens, harasses, or bullies other users or third parties, including descriptions of violence, unwarranted harm, or other aspects against any person or property, or incites violence, including suicide;
● Hate Speech
User Content must not promote prejudice, discrimination, hatred, intolerance, or racism based on race or ethnicity, religion, disability, gender, age, nationality, veteran status, sexual orientation, or gender identity, or target any individual or group;
● Sensitive Event Content
User Content that may be considered capitalizing on or lacking reasonable sensitivity toward natural disasters, atrocities, conflicts, deaths, or other tragic events is not allowed;
● Illegal Activity Content
Using the service for any illegal or unlawful purpose, including but not limited to stalking and sexual exploitation of any user; and content that infringes intellectual property rights, i.e., User Content that infringes any third-party rights, including copyright, trademark, privacy, and publicity rights.
Term and Termination of Terms: The validity of these terms begins from the date you first use the service and continues until you or we terminate these terms.
4. Panda - Fun Party Access
Subject to your compliance with these Terms of Service, Panda - Fun Party grants you a license to use the service, provided that:
4.1. Your use of the service is limited to personal, non-commercial purposes;
4.2. You must not copy, transfer, provide access to, reproduce, or distribute any part of the service without Panda - Fun Party's prior written authorization;
4.3. You must not attempt to reverse engineer, modify, or alter any part of the service;
4.4. You will comply with the other terms and conditions of these Terms of Service.
5. Sensitive Information Feedback
5.1. Panda - Fun Party has zero tolerance for inappropriate content or malicious users.
5.2. Panda - Fun Party reviews and identifies pornographic content. Any user who posts pornographic content in profiles, backgrounds, or chat rooms will be blocked within 24 hours.
5.3. Panda - Fun Party administrators have the authority to monitor and investigate. Depending on the severity of the behavior, user accounts may be banned.
6. User Status Submissions
6.1. The Panda - Fun Party service allows the submission of status text and other communications submitted by you and other users ("User Status Submissions"), as well as the hosting, sharing, and/or publishing of these User Status Submissions. As described below, you retain all rights to your User Status Submissions. You understand that Panda - Fun Party does not guarantee confidentiality for any submissions, whether or not they are published.
6.2. You will be responsible for your User Status Submissions and the consequences of posting or publishing them. Since Panda - Fun Party only acts as a repository for data, user-submitted statuses do not necessarily represent the views or opinions of Panda - Fun Party, and Panda - Fun Party makes no guarantees regarding the validity, accuracy, or legal status of any status. Regarding User Status Submissions, you declare, represent, and/or warrant that: (i) you own or have obtained the necessary licenses, rights, consents, and permissions to use and authorize Panda - Fun Party to use all patents, trademarks, trade secrets, copyrights, or other proprietary rights to include and use all your User Status Submissions in accordance with the service and these Terms of Service; and (ii) you have obtained the written consent, permission, and/or authorization of each identifiable individual to include and use the name or likeness of each identifiable individual in the service and these Terms of Service. To be clear: you retain all rights to your User Status Submissions, but you must first own the relevant rights. However, by submitting User Status Submissions to Panda - Fun Party, you hereby grant Panda - Fun Party a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, display, and perform User Status Submissions in connection with the Panda - Fun Party service and Panda - Fun Party's (and its successors') business, including but not limited to promoting and redistributing part or all of the Panda - Fun Party service (and its derivative works) in any media format and through any media channels. You also hereby grant each subscriber of the Panda - Fun Party service a non-exclusive license to access your User Status Submissions through the service, email, and mobile devices, and to display portions of the User Status Submissions in accordance with the service's functionality and these Terms of Service. The aforementioned license terminates once you delete or remove User Status Submissions from the Panda - Fun Party service.
6.3. During the User Status Submission process, you further agree not to:
● Submit materials protected by copyright, trade secret, or other third-party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have obtained permission from the owner to post the material and grant Panda - Fun Party all the license rights granted in these Terms of Service;
● Post false or misleading information that may harm Panda - Fun Party or any third party;
● Submit materials that are unlawful, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically discriminatory, or that encourage conduct that would constitute a criminal offense, give rise to civil liability, violate any law, or are otherwise inappropriate;
● Post advertisements or commercial solicitations;
● Impersonate another person;
● Send or store materials containing malicious software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents, or programs;
● Interfere with or disrupt the integrity or performance of the service and its data;
● Attempt to gain unauthorized access to the service or its related systems or networks.
6.4. Adult content must be labeled as such. Panda - Fun Party does not endorse any User Status Submissions or any views, recommendations, or opinions expressed therein, and Panda - Fun Party expressly disclaims any and all liability in connection with User Status Submissions. Panda - Fun Party does not allow copyright infringement or intellectual property rights violations through its service, and upon receiving proper notice, Panda - Fun Party will remove all infringing content and User Status Submissions. Panda - Fun Party reserves the right to remove content and User Status Submissions without prior notice. Panda - Fun Party may also terminate a user's access to the service if the user is determined to be a repeat infringer or for any reason or no reason (including being objectionable). A repeat infringer is a user who has received more than one notice of infringing activity and/or whose User Status Submissions have been removed from the site more than twice. An objectionable person is someone deemed objectionable by Panda - Fun Party's authorized employees, agents, sub-agents, or super-agents (with or without malice). Panda - Fun Party also reserves the right to determine whether content or User Status Submissions are appropriate and comply with these Terms of Service, beyond copyright infringement and intellectual property law violations, such as but not limited to overly long or limited-interest content. Panda - Fun Party may delete such User Status Submissions and/or terminate a user's access for uploading such materials in violation of these Terms of Service at any time, without prior notice, and at Panda - Fun Party's sole discretion.
6.5. You understand that when using the Panda - Fun Party service, you will be exposed to User Status Submissions from various sources, and Panda - Fun Party is not responsible for the accuracy, usefulness, safety, or intellectual property of these User Status Submissions, and these User Status Submissions are not within Panda - Fun Party's scope of responsibility. You further understand and acknowledge that you may be exposed to inaccurate, offensive, indecent, or objectionable User Status Submissions, and you agree to waive, and hereby waive, any legal or equitable rights or remedies you may have against Panda - Fun Party with respect to such content, and agree to indemnify and hold Panda - Fun Party, its owners/operators, affiliates, and/or licensors harmless to the fullest extent permitted by law for all matters related to your use of the site.
6.6. Panda - Fun Party allows you to link to materials within the service only for personal, non-commercial use. Commercial versions may be provided under separate licenses and terms. Panda - Fun Party reserves the right to suspend any aspect of the Panda - Fun Party service at any time. You agree that the use of the Panda - Fun Party service is entirely at your own risk. To the fullest extent permitted by law, Panda - Fun Party and its officers, directors, employees, and agents shall not be liable for the service and your use of the service for any express or implied warranties. Panda - Fun Party makes no guarantees regarding the accuracy or completeness of the service's content and shall not be liable for any of the following:
● Errors, mistakes, or inaccuracies in the content;
● Any personal injury or property damage of any nature resulting from your access to and use of our service;
● Any unauthorized access to or use of our servers and any personal and/or financial information stored therein;
● Any interruption or cessation of transmission to or from our service;
● Any viruses, worms, Trojan horses, or similar malicious programs that may be transmitted through our service by third-party actions;
● Any errors or omissions in any content or any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Panda - Fun Party service.
Panda - Fun Party does not guarantee, endorse, warrant, or assume responsibility for any third-party products or services provided through the Panda - Fun Party service or any hyperlinked website or in any User Status Submissions or other advertisements, and Panda - Fun Party will not be a party to or in any way monitor any transaction between you and third-party providers of products or services. As with the purchase of products or services through any medium or environment, you should exercise caution and use your best judgment where appropriate. Once again, it is solely for entertainment use.
7. Limitation of Liability
In no event shall Panda - Fun Party, its officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from:
(1) Errors, mistakes, or inaccuracies in content;
(2) Any personal injury or property damage of any nature whatsoever resulting from your access to and use of our service;
(3) Any unauthorized access to or use of our secure servers and any personal information and/or financial information stored therein;
(4) Any interruption or cessation of transmission;
(5) Any viruses, worms, Trojan horses, or similar malicious programs that may be transmitted through the actions of a third party;
(6) Any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Panda - Fun Party client and content posting, email transmission, transmission, or otherwise. Whether based on warranty, contract, tort, or any other legal theory, and whether or not the company has been advised of the possibility of such damages.
The aforementioned limitation of liability shall apply to the extent permitted by the laws of the applicable jurisdiction. You expressly acknowledge that Panda - Fun Party is not liable for defamatory, offensive, or illegal conduct of users or any third parties and that any risk arising therefrom is entirely your own. You agree that you will not use the product while driving a motor vehicle, for time-critical or emergency services or events, or for any operations that may result in injury, death, or economic loss. Panda - Fun Party does not represent that the Panda - Fun Party service is appropriate or available for use in all locations. Those who access Panda - Fun Party from other jurisdictions do so voluntarily and are responsible for compliance with local laws.
8. Termination of Service
You may terminate all other services by deleting your account and the application from the mobile device on which it is installed. If you wish to remove any user content from the service, you may use the permitted features of the application to do so, but removing or deleting such user content will not terminate these terms. We have the right to restrict, suspend, or terminate these terms and your access to all or any part of the service at any time, without notice or liability, if you violate any of these terms or any terms of our application, or infringe upon the rights of any third-party copyright owner. We will make reasonable efforts to notify you of such termination events via the email address associated with your account or upon your next attempt to access your account, as the case may be, but this may not always be possible.
